Florida Non-Compete Agreement Template
This Non-Compete Agreement (the "Agreement") is made and entered into on ________ [Insert Date], by and between _____________ [Employee's Name] ("Employee") and _____________ [Employer's Name] ("Employer"), collectively referred to as the "Parties." The purpose of this Agreement is to protect the legitimate business interests of the Employer in accordance with the Florida Uniform Trade Secrets Act (FUTSA) and the restrictive covenants statutes applicable in the State of Florida.
The Parties hereby agree as follows:
- Non-Compete Obligation: The Employee agrees not to engage in any business activity that is directly or indirectly competitive with the Employer's business during the period of employment and for a period of __________ [Specify Period] following the termination of employment, whether voluntary or involuntary. The geographical area for this non-compete obligation is specified as ____________ [Specify Geographical Area].
- Non-Solicitation: The Employee agrees not to solicit, either directly or indirectly, any of the Employer’s clients, customers, or employees, for the purpose of conducting a similar business as that of the Employer, during the Employee's employment and for a period of __________ [Specify Period] after the employment ends.
- Confidentiality: The Employee agrees to maintain the confidentiality of the Employer’s proprietary information, trade secrets, and any other confidential material, both during and after the period of employment.
- Return of Property: Upon termination of employment, the Employee agrees to return to the Employer all documents, materials, and property belonging to the Employer, without retaining any copies or records.
- Remedies for Breach: The Employee acknowledges that any breach of this Agreement may cause significant and irreparable harm to the Employer. The Employer has the right to seek enforcement of this Agreement through specific performance and/or injunctive relief, as well as to claim damages.
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
- Entire Agreement: This Agreement constitutes the entire agreement between the Parties pertaining to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the Parties.
- Amendment: No amendment, modification, or alteration of the terms hereof shall be binding unless the same is in writing and signed by both Parties.
- Severability: If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, provided that the essential terms and conditions of this Agreement for both Parties remain legal and enforceable.
- Signatures: This Agreement is executed by the Parties to be effective as of the date first above written.
